Terms of Service & EULA

These Terms of Service ("Terms") are a legal agreement between you and WiWaWo Pty Limited (ABN 11 696 137 354 / ACN 696 137 354) ("Vinyl Crate Space", "we", "us", "our"), the provider of the Vinyl Crate Space website, mobile apps, and related services (together, the "Service").

By creating an account, subscribing, or otherwise using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

These Terms include an End User Licence Agreement (EULA) for our apps (see section 3) and should be read together with our Privacy Policy.

1. Who can use Vinyl Crate Space

  • You must be at least 16 years old, or the minimum age required in your country to consent to the processing of your personal data, whichever is higher.
  • You are responsible for your account and for keeping your login details secure.
  • You must give accurate account information and keep it up to date.
  • You are responsible for activity that happens under your account.

2. Your account

You sign in through the account system we provide. You may delete your account at any time from within the app (see section 9). You must not share your account, sell it, or let others use it except through the shared-plan seats included in Duet and Band plans.

3. Licence to use the apps (EULA)

We grant you a personal, limited, non-exclusive, non-transferable, revocable licence to install and use the Vinyl Crate Space apps on devices you own or control, solely for your own personal, non-commercial use, and in line with these Terms and any app-store rules that apply.

You must not:

  • copy, modify, or create derivative works of the app except as allowed by law;
  • reverse-engineer, decompile, or disassemble the app except as allowed by law;
  • rent, lease, lend, sell, redistribute, or sublicense the app;
  • remove or alter any proprietary notices; or
  • use the app in any unlawful way or to build a competing product.

We may issue updates. Some updates may be required for the Service to keep working.

4. Subscriptions, plans and billing

4.1 Free and paid plans

Vinyl Crate Space offers a free plan and a range of paid subscription plans (Solo, Duet and Band, in Gold and Platinum grades). Each plan sets limits such as the number of seats, catalogue size, and monthly AI Credits (used for features such as cover recognition). AI Credits refresh every month, including on annual plans, and unused credits do not carry over to the next month. Current plans, inclusions and prices are shown on our pricing page. All prices are in Australian dollars (AUD) unless the app store shows a different local currency (see 4.6).

4.2 Billing cycles and auto-renewal

Paid plans are billed monthly or annually, depending on the cycle you choose. Subscriptions renew automatically at the end of each billing period at the then-current rate for your plan, unless you cancel before the renewal date. By subscribing, you authorise us (or the relevant app store) to charge your payment method for each renewal until you cancel.

4.3 Founders rate

For a limited Founders window, the first 55 days after launch (closing 11:59pm Melbourne time (AEDT) on 22 October 2026), you can subscribe at our discounted Founders rate. If you take up the Founders rate during that window:

  • your Founders rate on your current plan is locked for the life of your subscription and will not increase, for as long as your subscription remains continuously active;
  • if you change plans while the Founders window is still open (for example upgrade or downgrade on or before 11:59pm Melbourne time (AEDT) on 22 October 2026), you keep Founders pricing at your new plan's tier;
  • if you change plans after the Founders window has closed, the Founders rate no longer applies and your new plan is billed at standard pricing; and
  • if you cancel and later re-subscribe, the Founders rate is lost and standard pricing applies.

After the Founders window closes, standard pricing applies to new subscriptions.

4.4 Price changes

We will not increase your Founders rate while your subscription stays continuously active. For standard (non-Founders) subscriptions, we may change prices from time to time; we will give you reasonable notice (at least 30 days, or as required by law) before a change affects you, and price changes take effect from your next billing period after the notice.

4.5 Cancellation

You can cancel at any time. Your paid features continue until the end of the current billing period, and you will not be charged again after that. We do not provide pro-rata refunds for the unused part of a billing period, except where required by law (see 4.7). If you bought through an app store, cancel through that store (see 4.6).

4.6 Purchases through app stores

If you subscribe through the Apple App Store or Google Play, your purchase is also subject to that store's terms, the store handles payment and sets local pricing, and you manage or cancel the subscription through your store account, not through us. Store refund requests are handled under that store's policy.

4.7 Refunds and Australian Consumer Law

Nothing in these Terms limits your rights under the Australian Consumer Law (ACL). Our services come with guarantees that cannot be excluded under the ACL. If we fail to meet a consumer guarantee, you may be entitled to a remedy such as a refund. Outside those rights and any app-store policy, subscription fees are non-refundable.

4.8 What happens when a plan ends or you move to a smaller one

If you cancel, downgrade, or your subscription lapses, your account moves to the limits of the plan you end up on (the free plan, if you no longer have a paid one). Two things follow, and neither of them deletes anything you added:

  • Extra members move to their own free accounts. If your new plan has fewer seats than you're using, the members who no longer fit are moved to their own free accounts and take their own records, notes and listens with them. Records in the shared collection stay with your account.
  • An over-limit catalogue becomes read-only. If your catalogue is larger than your new plan allows, we never delete your records. Instead the catalogue is locked for changes: you can still browse it and remove records, but you can't add records, edit them, or add notes and listens until you're back within the limit. Full access returns as soon as you subscribe again or bring the catalogue under the limit.

4.9 Joining another household's plan

If you accept an invitation to join another person's Duet or Band plan, your collection moves with you into that plan (see our Privacy Policy for what other members can see). Your own subscription does not end automatically in every case:

  • Web subscriptions: we cancel your web subscription for you when you accept an invitation to join another person's Duet or Band plan, effective at the end of the period you have already paid for. You will not be charged again.
  • App store subscriptions: only you can cancel a subscription billed through the Apple App Store or Google Play, in that store's subscription settings. Joining another plan does not stop store billing, so cancel it yourself or it renews.

If you later leave the plan, you move to your own free account and the records in your own collection move with you, along with your notes, listens and wishlist. Records you added to the plan's shared collection stay with the plan, because they belong to it rather than to you. See 4.8 for what happens if your collection is over the free limit.

5. Your content

"Your Content" means the information you add to the Service, including photos of records and covers you upload, catalogue and collection data, notes, and profile details.

  • You own Your Content. These Terms do not transfer ownership to us.
  • You grant us a licence to host, store, copy, process and display Your Content only as needed to operate and provide the Service to you (for example, to run cover recognition on a photo you upload, to sync your collection across your devices, and to back it up). This licence ends when you delete the content or your account, except for backups kept for a limited period or where the law requires us to keep it.
  • You are responsible for Your Content and confirm you have the rights to upload it, and that it does not break the law or these Terms.
  • We do not claim ownership of the album artwork, recordings, or trademarks of the records you catalogue; those belong to their respective owners.

6. Acceptable use

You agree not to:

  • use the Service unlawfully, or to store or share unlawful, infringing, or harmful content;
  • attempt to gain unauthorised access to the Service or other users' accounts or data;
  • interfere with, disrupt, or place unreasonable load on the Service or its infrastructure;
  • scrape, harvest, or bulk-extract data from the Service except through features we provide; or
  • misuse AI Credits or other features, or try to bypass plan limits.

We may suspend or limit accounts that break these rules.

7. Our intellectual property

The Service itself, including the Vinyl Crate Space name, logo, branding, software, design, and original copy, belongs to us or our licensors and is protected by law. Except for the licence in section 3, we do not grant you any rights in it. Please don't reproduce or use our branding or content without permission.

8. Third-party services

The Service relies on third parties (for example, hosting, payment processing, the app stores, email delivery, and data or recognition providers). Your use of those services may also be governed by their terms. We are not responsible for third-party services or websites we link to.

9. Account deletion and termination

  • You can delete your account and associated data at any time from within the app. Access ends immediately, and your data is kept for a 30-day recovery window in case the deletion was a mistake, after which it is permanently deleted. Deletion is handled in line with our Privacy Policy. Deleting your account ends your subscription (manage store-billed subscriptions through the store as well, see 4.6).
  • We may suspend or terminate your access if you materially breach these Terms, if required by law, or if needed to protect the Service or other users. Where reasonable, we'll give you notice and a chance to fix the problem first.
  • On termination, your licence to use the app ends and we may delete Your Content after a reasonable period, subject to law.

10. Availability and changes to the Service

We work to keep the Service available and reliable, but we don't guarantee it will always be uninterrupted or error-free. We may add, change, or remove features over time. Some features may be offered as previews or beta and may change or be withdrawn.

11. Disclaimers and limitation of liability

To the extent permitted by law, and subject to section 4.7 (Australian Consumer Law):

  • the Service is provided "as is" and "as available", without warranties beyond those that cannot be excluded by law;
  • we are not liable for indirect, incidental, or consequential loss, or for loss of data or profits; and
  • where liability cannot be excluded but can be limited, our total liability is limited, at our option, to re-supplying the Service or paying the cost of having it re-supplied, or to the amount you paid us for the Service in the 12 months before the claim.

You are responsible for keeping your own copies of important collection data.

12. Apple App Store additional terms

If you download our app from the Apple App Store, you acknowledge that:

  • these Terms are between you and us, not Apple, and Apple is not responsible for the app or its content;
  • Apple has no obligation to provide maintenance or support for the app;
  • to the extent permitted by law, any warranty is our responsibility, not Apple's;
  • we (not Apple) are responsible for addressing any claims about the app, including product-liability, legal/regulatory, and intellectual-property claims;
  • you will comply with applicable third-party terms and the App Store Terms of Service when using the app; and
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll take reasonable steps to let you know (for example, by posting the updated Terms here and/or notifying you in the app). Your continued use of the Service after changes take effect means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of the State of Victoria, Australia, and you and we submit to the non-exclusive jurisdiction of the courts of that State. This does not remove any protection you have under the law of your own country of residence that cannot be excluded by agreement.
